Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Devora Cloud, a platform-as-a-service operated from Brazil that lets you build, deploy, and run applications in the cloud. Please read them carefully, because by creating an account or using the platform you agree to be bound by them. If you are accepting these Terms on behalf of a company or another organization, you confirm that you have the authority to bind that entity, and "you" then refers to both you and that organization.

1. Acceptance of These Terms

These Terms form a binding agreement between you ("you", "Customer", or "user") and Devora Cloud ("Devora", "we", "us", or "our"). By registering for an account, accessing the dashboard, or deploying any application through the service, you confirm that you have read, understood, and agree to be bound by these Terms and by the documents referenced within them. If you do not agree with any part of them, you must not use the service.

These Terms incorporate our Privacy Policy and any acceptable-use rules, plan descriptions, or feature-specific terms that we publish. Where a particular feature is governed by supplemental terms, those supplemental terms apply in addition to these Terms and prevail only to the extent of a direct conflict on that specific point. From time to time we may also ask you to review and accept an updated version before continuing to use certain features.

2. Description of the Service

Devora Cloud is a platform-as-a-service that lets customers deploy applications from source repositories or direct uploads and run them as managed containers. The platform handles build pipelines, container orchestration, TLS/SSL certificate provisioning, custom domain configuration, managed databases, autoscaling, and global replicas, together with dashboards, logs, and observability tools designed to make running production workloads straightforward.

Our infrastructure is hosted in the br-sao region (São Paulo, Brazil), and we also serve users located outside Brazil. We continuously improve the platform and may add, modify, deprecate, or discontinue features, plans, or regions. When a material change is likely to adversely affect active workloads, we will use reasonable efforts to give you advance notice through the dashboard or by e-mail so that you can adapt your deployments.

3. Eligibility, Accounts, and Account Security

To use Devora Cloud you must be at least 18 years old, or the age of majority in your jurisdiction, and have the legal capacity to enter into a contract. You may not use the service if you are barred from doing so under any applicable law or sanctions regime. If you register on behalf of an organization, you represent that you are authorized to bind it to these Terms.

When you create an account you agree to provide accurate, current, and complete information and to keep it up to date. Each account should have an identifiable person responsible for it, and you are accountable for all activity that occurs under your account, whether or not you authorized it.

You are responsible for safeguarding your credentials and for restricting access to your account. We strongly recommend enabling multi-factor authentication where available and using strong, unique passwords. You must notify us promptly at contato@devoracloud.com if you suspect any unauthorized access or security breach involving your account. To the extent permitted by law, we are not liable for losses arising from your failure to keep your credentials confidential or to secure your own systems.

4. Acceptable Use and Prohibited Activities

You agree to use the service only for lawful purposes and in compliance with these Terms and all applicable laws. You are responsible for everything that is stored, deployed, transmitted, or served through your account, and for ensuring that your use does not harm Devora, other customers, or third parties.

You must not use the platform to host, deploy, or distribute content or applications that are illegal, that infringe intellectual property or other rights, or that involve malware, ransomware, phishing, credential harvesting, or other malicious code. You must not send unsolicited bulk communications (spam), operate open relays, or use the service to facilitate fraud, harassment, or the exploitation of minors.

You must not abuse the underlying infrastructure. This includes, without limitation, launching or participating in denial-of-service attacks, unauthorized port scanning or penetration testing of systems you do not own, deliberately exhausting shared resources, circumventing usage limits or metering, or interfering with the integrity or performance of the platform. Cryptocurrency mining and comparable resource-intensive proof-of-work activities are not permitted without our prior written consent.

You must not resell, sublicense, or provide access to the service to third parties except as expressly permitted by your plan, and you must not attempt to reverse engineer, copy, or create derivative works of the platform except to the extent this restriction is prohibited by law. We may investigate suspected violations and, at our discretion, remove or disable content, throttle resources, or suspend the account, as described in the suspension and termination section below.

5. Customer Content and Deployed Applications

You retain all rights in the code, data, configurations, media, and other materials that you upload, deploy, or generate through the service ("Customer Content"). You grant Devora a limited, non-exclusive, worldwide license to host, store, process, transmit, cache, and display Customer Content solely as needed to provide, maintain, secure, and support the service, and to comply with your instructions and the law.

You are solely responsible for your applications and for the Customer Content associated with them, including their legality, accuracy, licensing, and compliance with applicable regulations. You represent that you have all rights, licenses, and consents necessary to upload and deploy your Customer Content and to authorize the processing described here. You are equally responsible for the end-users of the applications you run on the platform and for your relationship with them.

Although the platform provides tools that can improve resilience, you remain responsible for maintaining your own backups and for the security configuration of your applications, including secrets management, access controls, and dependency hygiene. Devora is not responsible for loss of Customer Content resulting from your configurations, deletions, or actions, or from vulnerabilities in your own code.

6. Plans, Billing, Taxes, Renewals, and Refunds

Paid plans are offered on the terms and at the fees shown on our pricing page and within the dashboard at the time of purchase. Unless stated otherwise, fees are charged in Brazilian reais (BRL) on a recurring monthly cycle, and paid subscriptions renew automatically at the end of each cycle for a further period of the same length until canceled. Some plans include usage-based or overage charges that are calculated according to your actual consumption of resources.

Payments are processed through third-party payment providers, and by subscribing you authorize us and those providers to charge your chosen payment method for the applicable plan fee and any usage charges. You are responsible for keeping a valid payment method on file and for ensuring that charges can be completed. If a charge fails, we may retry it and may restrict or suspend the service until the outstanding amount is settled.

Fees may be shown exclusive or inclusive of taxes depending on the context, and you are responsible for any applicable taxes, duties, or governmental charges associated with your use of the service, other than taxes based on Devora's net income. Where we are required to collect indirect taxes, they will be added to your invoice as required by law.

Except where a non-waivable right applies under Brazilian consumer protection law, subscription fees are generally non-refundable, including for partial billing periods and for resources reserved but not used. Consumers who contract the service remotely may exercise any statutory right of withdrawal within the period provided by the Brazilian Consumer Protection Code. We may, at our discretion, grant credits or pro-rated refunds in individual cases, but this does not create an obligation to do so. No refund is due for periods during which the service was suspended or terminated because of your breach of these Terms.

7. Free, Courtesy, and Trial Terms

From time to time we may offer a free tier, promotional credits, courtesy access, or time-limited trials. These offerings are provided to let you evaluate the service and may carry reduced resource limits, feature restrictions, or shorter data-retention windows compared with paid plans. We may modify, condition, or withdraw any free or trial offering at any time, and the resources associated with it may be reclaimed when the offer ends.

A trial or free plan may require a valid payment method, and unless you cancel before the trial or promotional period ends, your subscription may automatically convert to the corresponding paid plan and be billed accordingly. You may not abuse free or trial offerings, for example by creating multiple accounts to obtain benefits beyond their intended scope, and we may reclaim resources or close accounts that do so.

8. Suspension and Termination

You may cancel your subscription or close your account at any time through the dashboard. Cancellation generally takes effect at the end of the current billing cycle, and you remain responsible for charges accrued up to that point. Closing your account does not entitle you to a refund of fees already paid except as required by law.

We may suspend or terminate your access to all or part of the service, with or without prior notice depending on the circumstances, if you materially breach these Terms, fail to pay amounts due, engage in prohibited activities, create a security or legal risk, or if we are required to do so by law or by a competent authority. Where a threat to the platform, other customers, or third parties is urgent, we may suspend affected workloads immediately and provide notice afterward.

Upon termination, your right to use the service ends and running workloads may be stopped. We will make Customer Content available for export for a limited grace period where reasonably practicable and lawful, after which it may be permanently deleted from active systems. It is your responsibility to retrieve your data before the end of that period. Provisions that by their nature should survive termination, including those on fees owed, intellectual property, disclaimers, limitation of liability, and indemnification, will continue to apply.

9. Service Availability, Maintenance, and Service Levels

We work hard to keep the platform available and performant, but the service is provided on an "as available" basis and we do not guarantee that it will be uninterrupted, timely, or error-free. Any specific uptime commitment or service-level agreement applies only if it is expressly stated in the terms of the plan you have purchased; in the absence of such an express commitment, no particular level of availability is warranted.

We may perform scheduled maintenance and will endeavor to carry it out during low-impact windows and to provide reasonable advance notice for maintenance likely to affect your workloads. We may also perform emergency maintenance without prior notice when necessary to protect the security, integrity, or stability of the platform. Features labeled as beta, preview, or experimental are provided for evaluation, may change or be withdrawn, and are excluded from any availability commitment.

10. Intellectual Property

The service, including the Devora Cloud platform, software, dashboards, documentation, design, and the "Devora Cloud" name and logo, is owned by Devora or its licensors and is protected by intellectual property and other laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to access and use the service for its intended purpose, and they do not transfer to you any ownership of, or other rights in, our intellectual property.

You may not use our trademarks, branding, or trade dress without our prior written permission. If you choose to send us feedback, ideas, or suggestions about the service, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you, so that we can improve the platform for everyone.

11. Third-Party Services and Providers

To deliver the service, Devora relies on third-party providers, including an underlying deployment and orchestration engine, payment processors, e-mail delivery providers, and infrastructure and connectivity suppliers. Your use of the platform may therefore be subject to those providers' operational limitations, and in some cases their terms, though we do not require you to contract with them directly for the core service.

You may also connect the platform to third-party services that you control, such as source-code repositories, domain registrars, or external integrations. Your use of those services is governed by their own terms and privacy practices, and Devora is not responsible for third-party services, their availability, or their acts and omissions. You are responsible for reviewing and complying with the terms of any third-party service you connect to your account.

12. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. We specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and we do not warrant that the service will meet your requirements, operate without interruption or error, be free of vulnerabilities, or that any data will not be lost or corrupted.

You are responsible for evaluating whether the service is suitable for your needs and for the results obtained from using it. Nothing in this section limits any warranty or right that cannot be excluded or limited under applicable law, including mandatory protections available to consumers under the Brazilian Consumer Protection Code.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Devora and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business, or data, arising out of or relating to the service or these Terms, even if we have been advised of the possibility of such damages.

To the extent liability cannot be excluded but may be limited, Devora's total aggregate liability arising out of or relating to the service or these Terms will not exceed the total amount you paid to us for the service during the twelve months immediately preceding the event giving rise to the claim. These limitations apply regardless of the legal theory on which a claim is based and reflect the allocation of risk between the parties. Nothing in this section excludes or limits liability that cannot be excluded or limited under applicable law, including liability for willful misconduct or under mandatory consumer protection rules.

14. Indemnification

You agree to defend, indemnify, and hold harmless Devora and its affiliates and their respective officers, employees, and agents from and against any claims, demands, damages, liabilities, losses, and expenses, including reasonable legal fees, arising out of or related to your Customer Content, your applications, your use of the service, your violation of these Terms or any applicable law, or your infringement of the rights of any third party. We may, at our option, participate in the defense of any such claim, and you will cooperate with us in doing so and will not settle any claim in a way that imposes obligations on Devora without our prior written consent.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in the service, in the law, or in our business practices. When we make material changes, we will notify you through the dashboard, by e-mail, or by another reasonable means before the changes take effect. Your continued use of the service after the changes become effective constitutes your acceptance of the updated Terms. If you do not agree with the changes, you should stop using the service and may cancel your account before they take effect.

16. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to them or to the service are governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-laws principles. The parties elect the courts of the Judicial District of São Paulo, State of São Paulo, Brazil, as competent to resolve any dispute, except where mandatory law provides otherwise. Consumers retain the right to bring proceedings before the courts of their own domicile where such a right is granted by applicable consumer protection law.

17. How to Contact Us

If you have questions about these Terms or the service, you can reach us at contato@devoracloud.com or through our website at devoracloud.com. We aim to respond to enquiries within a reasonable time and welcome feedback that helps us improve the platform.
